End-User License Agreement and Terms of Service – Cerpangha Field Tech

Effective date: October 12, 2026

These terms ("Terms") govern use of Cerpangha Field Tech (the "App"), owned and operated by Cerpangha LLC ("Cerpangha," "we," "us"), a commercial food-equipment service company owned by Aaron Reed. By using the App, you agree to these Terms.

1. Who may use the App

The App is for internal use by authorized Cerpangha employees only. It is not offered to the public. Access may be granted, limited, or removed by Cerpangha at any time.

2. License

Cerpangha grants authorized users a limited, non-exclusive, non-transferable, revocable license to use the App solely to perform work for Cerpangha. You may not copy, modify, resell, share access to, reverse engineer, or use the App for any other purpose.

3. What the App does

The App is used to dispatch service calls, create invoices, sync customers, invoices, payments, vendors and bills with Cerpangha's QuickBooks Online company, and accept card and e-check payments from Cerpangha's customers through QuickBooks Payments.

4. QuickBooks and Intuit

The App connects to QuickBooks Online and QuickBooks Payments, which are provided by Intuit Inc. Use of those services is also subject to Intuit's terms and policies. Intuit is not responsible for the App. Card and bank details are tokenized by Intuit and are never stored by Cerpangha.

5. Customer payments

When a Cerpangha customer pays by card or e-check through the App, the payment is processed by Intuit QuickBooks Payments. By submitting a payment, the customer authorizes the charge for the amount shown. Questions about a payment can be sent to service@cerpangha.com.

6. User responsibilities

• Keep your login credentials private and do not share your account.
• Enter accurate information and use the App only for legitimate Cerpangha business.
• Protect customer information and follow Cerpangha's policies and the law.
• Report any suspected security problem promptly.

7. Privacy

Our handling of information is described in our Privacy Policy. We do not sell data or use it for marketing.

8. Ownership

The App and its content belong to Cerpangha LLC. Business data entered in the App belongs to Cerpangha.

9. Disclaimer

The App is provided "as is" and "as available," without warranties of any kind, to the extent permitted by law. We do not guarantee the App will be uninterrupted or error-free.

10. Limitation of liability

To the extent permitted by law, Cerpangha is not liable for indirect, incidental, special, or consequential damages arising from use of the App.

11. Termination

Cerpangha may suspend or end access to the App at any time. Access ends automatically when employment ends.

12. Changes

We may update these Terms. The effective date above shows when they were last changed. Continued use means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules.
